(“Tawqi3i” / the “Platform”).

Effective as of January 1st, 2025

1) Scope and Application of the Disclosure

​

1.1 This disclosure (the “Disclosure”) applies to all documents, notices, agreements, records, requests, and messages (collectively, the “Documents”) that are sent to you or made available to you through the Tawqi3i electronic signing platform or any electronic signing service integrated with it.

​

1.2 By proceeding with electronic signing, you acknowledge and agree that the Documents may be reviewed, executed/signed, delivered, and stored electronically, in accordance with the laws and regulations in force in the Hashemite Kingdom of Jordan, including (as applicable) the Electronic Transactions Law No. (15) of 2015 and its amendments, the Personal Data Protection Law and any related regulations or instructions, and any other applicable legislation, directives, or guidance. To the extent permitted under Jordanian law, electronic signatures and electronic records shall have the necessary legal effect.

2) Definition of the “Sender” and the Platform’s Role

​

2.1 The “Sender” is the person/entity that created the Document and sent it to you through the Platform for your signature/approval (the Sender’s name/identity typically appears in the invitation or within the Document interface).

​

2.2 The Platform provides a technical service and digital trust infrastructure to facilitate sending, review, signing/approval, and the generation of audit records associated with the process, and it is not a party to the substance of the Document or to the contractual relationship between you and the Sender.

​

2.3 Any inquiries relating to the Document’s content, terms, effects, or paper copies should be directed to the Sender, unless Tawqi3i is the Sender.

​

3) Your Explicit Consent to Electronic Records and Signatures

​

3.1 You expressly acknowledge and agree to receive the Documents electronically, review them, sign/approve them, deliver them, and store them electronically.

3.2 You confirm that you are able to access, read, download, and retain electronic Documents using your device.

​​

4) Review and Voluntary Execution

​​

4.1 You acknowledge that you have been provided with an opportunity to review the Document in full prior to signing/approval.

​​

4.2 You confirm that you sign/approve electronically voluntarily, knowingly, and without any coercion or undue influence.

​​

5) Legal Effect of Electronic Signature / Electronic Approval

​

5.1 You agree and acknowledge that any electronic signature or electronic approval/consent action applied through the Platform shall be recognized, valid, binding, and enforceable within the limits permitted by the laws in force in the Hashemite Kingdom of Jordan, in particular the Electronic Transactions Law No. (15) of 2015 and its amendments, and any related regulatory requirements/instructions.

5.2 Depending on the Sender’s selected workflow and the Service features, the Platform may support different forms or levels of electronic signing/approval and related verification steps. The nature and legal effects of the Document, and of the method used in the relevant transaction, shall be understood in accordance with the Document’s content, the applicable workflow, and any applicable laws and formal requirements.

6) Copies and Retention of Documents

​

6.1 The Sender may, depending on its settings, allow the signer to download/retain an electronic copy of the Document after signing through the Platform.

​

6.2 You may also request an electronic or paper copy of the Document directly from the Sender.

​

6.3 Unless otherwise required by law, the electronic version constitutes the official and binding record.

​

7) Withdrawal of Consent

​

7.1 You may withdraw your consent to electronic records and signatures at any time by notifying the Sender in writing.

​

7.2 Withdrawal of consent may delay, suspend, or prevent the completion of transactions that require electronic execution and may require moving to a non-electronic alternative if offered by the Sender.

​

7.3 If the Document has already been completed and signed/approved, withdrawal of consent thereafter does not automatically invalidate what has been completed, subject to applicable law and any agreement terms with the Sender.

8) Electronic Delivery of Invitations, Notices, and Documents

​

8.1 Unless you notify the Sender otherwise, all Documents, notices, and disclosures related to your relationship with the Sender will be provided electronically through the Platform or other electronic means used by the Sender.

​

Note: The Sender may use any suitable electronic channel to send the invitation/link or notices. You are responsible for ensuring you can access such channels and for keeping your contact details up to date.

​

9) Verification and Authentication Mechanisms

​

9.1 The Sender or the Platform (depending on service settings) may apply one or more verification/authentication methods before completing the signing/approval process, which may include a one-time password (OTP) where enabled.

​

9.2 Where a verification/authentication method is enabled, successful or unsuccessful completion of that step may form part of the verification process associated with the signing/approval workflow and may be recorded in the audit trail, without disclosing the OTP itself or any protected authentication secret.

10) System Requirements and Access Capability 

​

To use the Platform’s electronic signing services properly, you typically need:

• A compatible device (phone/computer/tablet).

• A working internet connection.

• A supported browser or application.

• Required operating settings enabled where applicable (such as JavaScript and session-essential cookies).

• The ability to open/view PDF files (as Documents are displayed in PDF format).

If you do not meet these requirements, you may be unable to complete electronic signing.

11) Acceptance Record and Audit Trail

​

11.1 You acknowledge and agree that the Platform and/or the Sender may maintain an electronic record to evidence your acceptance of this Disclosure and the completion of the signing/approval process for transaction integrity, anti-fraud, security, compliance, and rights protection purposes.

 

Figure (1) below illustrates the acceptance flow and the logging of acceptance within the audit trail.

11.2 Depending on the Sender’s settings and the Service features, the audit trail may include data such as:

• Acceptance date/time: ((UTC) Coordinated Universal Time). 

• The channel used to send the invitation/link (as used by the Sender).

• Document/transaction identifier (Document/Envelope ID).

• Displayed Disclosure version (Disclosure Version).

• IP address and technical device/browser information.

• Verification/authentication outcome/details (including OTP result where used) without disclosing the OTP itself or any protected authentication secret.

11.3 Audit trail retention: Audit trail data shall be retained for the period applicable under the relevant service configuration, the Sender’s settings/agreements, and any mandatory legal or regulatory retention requirements. Where a specific retention period applies under the governing service documents, that period shall apply.

11.4 Audit trail data is handled in accordance with the applicable privacy policy and related agreements, and in compliance with applicable data protection laws in the Hashemite Kingdom of Jordan (including the Personal Data Protection Law), and only for legitimate purposes.

12) Acknowledgment and Consent

​

By selecting the consent option and continuing, you confirm that you:

• Have read and understood this Disclosure;

• Are able to access and retain electronic Documents; and

• Agree to use electronic records and electronic signatures for Documents processed through the Platform.

13) Governing Law

​

13.1 This Disclosure shall be governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan.

​

13.2 This Disclosure is not intended to amend or determine the governing law applicable to the substance of the Document itself or the contractual relationship between you and the Sender, as that relationship may be subject to a different law/jurisdiction determined by the Document or the Sender, without prejudice to any mandatory rules.

14) Illustrative Diagram for the Disclosure Acceptance Flow (Integral Part of this Disclosure)

​

14.1 The illustrative diagram below is included as an integral part of this Disclosure to explain the acceptance mechanism and the typical electronic signing flow through the Platform.

​

14.2 For legal purposes, the diagram is provided as an operational/illustrative depiction of the usual sequence and does not, by itself, create additional obligations that conflict with this Disclosure or applicable laws and regulations. In case of conflict, the text of this Disclosure shall prevail.
